Terms & Conditions

All content, software, graphics, designs, source codes, videos, documents, strategies, marketing materials, and other deliverables created by AWD Software remain the intellectual property of AWD Software unless otherwise agreed upon in writing.

Clients shall not reproduce, distribute, modify, sell, transfer, or use any proprietary material beyond the agreed scope without prior written consent.

You agree to:

• Provide accurate and complete information required for project execution.
• Deliver necessary content, credentials, approvals, and feedback within agreed timelines.
• Ensure that all materials supplied to AWD Software do not infringe upon any third-party rights.
• Cooperate with the project team throughout the engagement.

Any delay in providing required information may result in project timeline extensions.

All fees must be paid according to the agreed payment schedule. Advance payments are non-refundable unless otherwise specified.

Delayed payments may result in project suspension. AWD Software reserves the right to withhold deliverables until outstanding dues are cleared.

Additional work beyond the approved scope shall be charged separately.

We may collect and process personal information for service delivery, customer support, billing, communication, and marketing purposes.

We reserve the right to feature project screenshots, website previews, mobile application showcases, design samples, testimonials, photographs, videos, or other promotional materials related to completed work in Our portfolio, social media channels, presentations, and marketing campaigns unless otherwise agreed in writing.

We shall not sell or disclose Your personal information to third parties except:

• Where required by law;
• For service fulfillment through authorized partners;
• With Your consent.

AWD Software shall maintain reasonable confidentiality regarding client information, business data, and project materials shared during the course of engagement.

Both parties agree not to disclose confidential information to unauthorized third parties without prior written approval.

You expressly agree that the use of the Website and Services is at Your sole risk. AWD Software shall not be liable for:

• Loss of profits, revenue, or business opportunities;
• Data loss or security breaches caused by third-party platforms;
• Search engine ranking fluctuations;
• Social media algorithm changes;
• Service interruptions caused by hosting providers, domain registrars, or external vendors;
• Indirect, incidental, consequential, or special damages.

Our total liability shall not exceed the amount paid by You for the specific service giving rise to the claim.

Certain services may involve third-party platforms including hosting providers, payment gateways, social media platforms, app stores, advertising networks, plugins, APIs, or software tools. AWD Software shall not be responsible for the policies, downtime, pricing changes, or actions of such third-party providers.

We reserve the right to suspend or terminate any service immediately if:

• Payment obligations are not fulfilled.
• The client engages in unlawful activities.
• The client violates these Terms and Conditions.
• The project becomes commercially or technically unfeasible.

Upon termination, all outstanding payments shall become immediately due.

You agree to indemnify, defend, and hold harmless AWD Software, its directors, employees, contractors, affiliates, and partners from any claims, damages, losses, liabilities, expenses, and legal costs arising from:

• Your misuse of the Services;
• Violation of applicable laws;
• Infringement of third-party intellectual property rights;
• Breach of this Agreement.

AWD Software does not guarantee specific search engine rankings, exact lead generation numbers, sales conversions, revenue growth, viral marketing results, or continuous availability of third-party services. Results may vary depending on market conditions, competition, user behavior, and external factors beyond Our control.

This Agreement shall be governed and interpreted in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts in Maharashtra, India.
